Terms of Service.

The short version

OmniSocial is a local social network. By using it, you agree to be a good neighbor: be honest about who you are, don't post anything illegal or hateful, and don't try to scam other users. You own what you post, but you give us permission to display it on the Service. We don't guarantee anything is perfect, and we're not liable for what other users do. If something goes wrong, our maximum liability is whatever you paid us in the last 12 months (which is currently $0 for most features).

1. Acceptance of these Terms

These Terms of Service (the "Terms") are a binding legal agreement between you and OmniSocial Inc. ("OmniSocial," "we," "us," or "our"), operator of https://omnisocial.net and the OmniSocial mobile and web applications (collectively, the "Service"). By creating an account, accessing, or using the Service, you agree to these Terms and to our Privacy Policy. If you don't agree, don't use the Service.

2. Eligibility

  • You must be at least 13 years old.
  • If you are between 13 and 17, you confirm that a parent or legal guardian has reviewed these Terms with you and consents to your use of the Service.
  • You must be a U.S. resident with a valid U.S. ZIP code.
  • You must not be barred from using the Service under U.S. law.
  • You must not have been previously suspended or removed from OmniSocial, unless we've given you written permission to return.

3. Your account

  • You agree to provide accurate, current information when you register — including your real first name, last name, email, and ZIP code — and to keep that information up to date.
  • You are responsible for everything that happens under your account. Keep your password secret. Don't share your account.
  • Tell us at Support right away if you suspect any unauthorized use of your account.
  • One person, one account. Creating multiple or fake accounts is grounds for suspension.

4. Acceptable use — what you may not do

You agree not to use the Service to:

  • Break any law or regulation.
  • Post or send content that is unlawful, threatening, harassing, defamatory, fraudulent, hateful, sexually explicit, violently graphic, or that targets anyone with slurs based on race, color, religion, sex, national origin, age, disability, sexual orientation, gender identity, or veteran status.
  • Impersonate any person or business, misrepresent your affiliation, or operate a fake or bot account (unless we've explicitly authorized it).
  • Solicit, distribute, or facilitate the sale of: firearms, ammunition, illegal drugs, prescription medication, stolen goods, counterfeit items, animals (live or dead), adult services, weapons of any kind, or anything else illegal to sell in your state.
  • Run any pyramid scheme, MLM recruitment, "investment opportunity," cryptocurrency promotion, or unsolicited commercial spam.
  • Collect or scrape personal information of other users without their consent.
  • Attempt to gain unauthorized access to the Service, other accounts, or our systems; or interfere with normal operation of the Service (e.g., DoS attacks, automated scraping, vulnerability exploitation).
  • Upload malware, viruses, or any code intended to harm the Service or its users.
  • Use the Service to facilitate human trafficking, child sexual abuse material (CSAM), or any other form of exploitation.

We may remove content, suspend, or permanently terminate accounts that violate these rules, at our sole discretion and without advance notice. Repeated or severe violations may be reported to law enforcement.

5. Your content & the license you give us

"Your Content" means anything you post, upload, or transmit through the Service — posts, comments, photos, messages, marketplace and rental listings, profile information, and the like.

  • You own Your Content. We don't claim ownership.
  • You grant us a license. By posting Your Content, you grant OmniSocial a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, reproduce, modify (for formatting and display), publicly display, publicly perform, and distribute Your Content solely for the purpose of operating, providing, improving, and promoting the Service. This license ends when you delete the content or your account (except as needed for backups, legal compliance, or for content already shared with other users).
  • You promise it's yours to post. You represent that you have all rights necessary to grant this license and that Your Content does not infringe anyone's rights, including copyright, trademark, privacy, publicity, or contractual rights.
  • We may moderate. We may, but are not required to, review, remove, edit, or refuse Your Content for any reason — including because it violates these Terms.

6. Local Buy/Sell Marketplace & Rentals

OmniSocial provides a venue for neighbors to list and discover items for sale, rentals, and real estate. We are not a party to any transaction between users. We don't verify ownership, condition, legality, or fitness of any listing, and we don't broker, escrow, or guarantee any payment.

  • You are solely responsible for your listings, your dealings, and your in-person meetups.
  • Use common sense: meet in public, bring a friend, accept payment methods you trust.
  • Don't list anything you don't have the legal right to sell or rent.
  • You must comply with all applicable federal, state, and local laws, including fair-housing laws (e.g., the Fair Housing Act) when posting rentals and real estate. Discriminatory listings are prohibited and will be removed.

7. Direct messages & chat rooms

Direct messages are visible to you and the recipient. City chat rooms are visible to anyone who has joined that city, and messages auto-delete after 30 minutes for privacy. We may temporarily retain messages for safety, abuse-prevention, and legal compliance.

8. Intellectual property — ours

The Service itself — including the OmniSocial name, logo, design, source code, copy, and look-and-feel — is owned by OmniSocial and protected by U.S. and international intellectual-property laws. We grant you a personal, limited, revocable, non-exclusive, non-transferable license to use the Service for its intended purpose. No other rights are granted.

9. Copyright & DMCA

We respect intellectual-property rights. If you believe content on the Service infringes your copyright, send a DMCA notice via our Support form with: (a) your physical or electronic signature; (b) identification of the copyrighted work claimed to have been infringed; (c) the URL or location of the allegedly infringing material on the Service; (d) your address, phone number, and email; (e) a statement that you have a good-faith belief that the use is not authorized by the copyright owner, its agent, or the law; and (f) a statement, under penalty of perjury, that the information is accurate and that you are authorized to act on behalf of the copyright owner. We may terminate the accounts of repeat infringers.

10. Feedback

If you send us suggestions, ideas, or feedback, you grant OmniSocial an irrevocable, worldwide, royalty-free, perpetual license to use and incorporate them into the Service without any obligation to you.

11. Termination

You may delete your account at any time from Profile → Settings → Delete account, or by writing to us at Support. We may suspend or terminate your access at any time, with or without notice, for any reason, including for any breach of these Terms. Provisions that by their nature should survive termination (Sections 5, 8, 12, 13, 14, 15, 16) will survive.

12. Disclaimers — Service is provided “as is”

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, OMNISOCIAL AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; THAT DEFECTS WILL BE CORRECTED; THAT THE SERVICE OR THE SERVERS THAT MAKE IT AVAILABLE ARE FREE OF VIRUSES; OR THAT ANY USER CONTENT, LISTINGS, OR THIRD-PARTY MATERIAL IS ACCURATE OR RELIABLE.

13. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL OMNISOCIAL OR ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF WE'VE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL CUMULATIVE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM AROSE, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

Some jurisdictions don't allow certain limitations on liability, so portions of this section may not apply to you. Where required by applicable law, our liability is limited to the maximum extent permitted by law.

14. Indemnity

You agree to defend, indemnify, and hold harmless OmniSocial and its affiliates from any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) Your Content; (b) your violation of these Terms; (c) your violation of any law or the rights of any third party; or (d) any transaction or dispute between you and another user.

15. Governing law & dispute resolution

These Terms are governed by the laws of the State of Delaware, U.S.A., without regard to its conflict-of-laws rules. Any dispute arising out of or relating to these Terms or the Service will be brought exclusively in the state or federal courts located in Delaware, and you consent to personal jurisdiction there.

Informal resolution first. Before filing a lawsuit, please contact us at Support and try to work things out for at least 30 days.

Class-action waiver. To the extent permitted by law, you and OmniSocial agree to bring any disputes only on an individual basis and not as part of a class, consolidated, or representative action.

16. Changes to these Terms

We may update these Terms from time to time. When we make material changes, we will give you reasonable advance notice (e.g., by email or by an in-app notice) before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the new Terms. If you don't agree, please stop using the Service and delete your account.

17. Miscellaneous

  • Entire agreement. These Terms (plus the Privacy Policy) are the complete agreement between you and OmniSocial regarding the Service.
  • Severability. If any part is found unenforceable, the rest stays in effect.
  • No waiver. Our failure to enforce any provision isn't a waiver of our right to do so later.
  • Assignment. You can't assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
  • Notices. We may send notices to you by email, in-app, or by posting on the Service.
